James M. Jenness
Chairman of the Board

James (Jim) M. Jenness has been chairman of the board of Kellogg Company since February 2005 and chairs the Executive Committee. Mr. Jenness has served as a member of Kellogg Company's Board of Directors since July 2000. He is also a member of the company's global leadership team.

Mr. Jenness joined the company in February 2005 as chairman of the board and chief executive officer and served as chief executive officer until December 31, 2006.

Before this role, Mr. Jenness served as chief executive officer of Integrated Merchandising Systems, LLC, a market leader in outsource management for retail promotion and branded merchandising.

Prior to joining Integrated Merchandising Systems, LLC, Mr. Jenness served as vice chairman and chief operating officer of Leo Burnett Company, Kellogg's major advertising agency partner. He also served as a member of its board of directors and executive committee. Over his 22-year career with Leo Burnett, Mr. Jenness held nearly every account management position in the firm, working on all of Kellogg's brands and traveling extensively worldwide supporting Kellogg's business units.

Mr. Jenness also has domestic and international business experience that covers a wide range of highly competitive industries, including health and

beauty aids, ready-to-eat cereals, fast/convenience foods, financial services, telecommunications, dairy and beef, hardware and home/life/health insurance.

His 30-year business career includes manufacturing, brand management, extensive work in the marketing and communications agency fields, as well as strong operational and financial management expertise.

Mr. Jenness earned a bachelor's degree in marketing and a master's degree in business administration from DePaul University in Chicago, Illinois. An active alumnus, Mr. Jenness maintains close ties to DePaul through his dedicated service on the College of Commerce Advisory Council and as a member and vice chairman of DePaul's Board of Trustees. Mr. Jenness has also been featured as a guest lecturer in the College of Commerce's undergraduate and graduate classes. In 1995, he received the College of Commerce's Alumni Award of Merit, and in 2006, he was awarded a doctor of humane letters degree.

Mr. Jenness is co-trustee of the W. K. Kellogg Foundation Trust. He is a member of the board of directors of Kimberly-Clark Corporation, Children's Memorial Hospital (senior director) and the Mercy Home for Boys and Girls.

Mr. Jenness was born in Chicago on May 15, 1946. He and his wife, Sharon, reside in Chicago, Illinois. They have three children.

A.D. David Mackay
President and Chief Executive Officer

A. D. David Mackay has been president of Kellogg Company since September 2003 and chief executive officer since December 31, 2006. He has been a member of Kellogg Company's board of directors since February 2005. He is also a member of the company's global leadership team.

Mr. Mackay joined Kellogg Australia as group product manager in 1985. He then transferred to corporate headquarters in Battle Creek in 1987 as category director, ready-to-eat cereals. He returned to Australia in 1991 as marketing and sales director, Kellogg Australia. In 1992, Mr. Mackay left Kellogg and held the position of managing director, Sara Lee Bakery in Australia. He returned to Kellogg in 1998 as managing director, Kellogg Australia and was promoted to managing director, United Kingdom and Republic of Ireland later in 1998. He was promoted to senior vice president, Kellogg Company and president, Kellogg USA in July 2000. In November 2000, Mr. Mackay was promoted to executive vice president, Kellogg Company. He was named president and chief operating officer of Kellogg Company in September 2003.

He received a bachelor of business degree from Charles Sturt University, Australia.

Mr. Mackay is a member of the board of directors of Fortune Brands, Inc. and the Kalamazoo Institute of Arts.

He is a former director and board member of the Grocery Manufacturers of Australia, the Australian Food Council, the Industry Affairs Council of the Grocery Manufacturers of America, and the executive committee of the Biscuit and Cracker Manufacturers' Association.

Mr. Mackay was born August 16, 1955 and lived primarily in Australia during his youth. He and his wife, Michelle, reside in Portage, Michigan. They have two children.

Margaret Bath
Vice President, Research, Quality and Technology, Kellogg Company

Margaret Bath has been Kellogg Company's vice president, research, quality and technology since June 2004. She is also a member of the company's global leadership team.

Ms. Bath joined Kellogg Company as director, global product development in March 2000, and was promoted to vice president, snacking research and technology for the Kellogg's Snacks division in February 2002. In April 2004, she was promoted to vice president, research and technology.

Prior to joining the company, Ms. Bath was employed by Frito Lay in Plano, Texas.

Ms. Bath received a bachelor's degree in food science from the University of Maryland.

She is a board member of the American Association of Cereal Chemists.

Ms. Bath was born May 10, 1964, in Kansas City, Kansas. She resides in Kalamazoo, Michigan.

Mark R. Baynes
Vice President, Kellogg Company; Global Chief Marketing Officer

Mark R. Baynes has been vice president, Kellogg Company since August 2008 and global chief marketing officer since July 2007. He is also a member of the company's global leadership team.

Mr. Baynes joined the company in the United Kingdom in 1990 as senior brand manager and held several positions while in the U.K. He was promoted to marketing manager in 1992; senior marketing manager in 1994; manager, NPD convenience foods in 1996; director, business development in 1997; director, global convenience foods innovation, Kellogg Europe in 1998; and managing director, convenience foods, Kellogg Europe in 1999.

In 2000, he was promoted to vice president, convenience foods innovation, Kellogg USA; in 2002, to vice president, marketing, Morning Foods Division, Kellogg USA; and in 2004, to senior vice president, marketing, Morning Foods Division, Kellogg North America. He was promoted to chief marketing officer, Kellogg North America and global coordinator, Kellogg Company in January 2007.

Mr. Baynes received an honours degree in business management from the University of Wessex.

Mr. Baynes was born May 14, 1961. He and his wife, Lesley, reside in Hickory Corners, Michigan. They have two children.

John A. Bryant
Chief Operating Officer, Chief Financial Officer
Kellogg Company

John A. Bryant has been Kellogg Company's chief operating officer since August 2008 and chief financial officer from 2002 – 2004 and since 2006. He is also a member of the company's global leadership team.

Mr. Bryant joined Kellogg Company in March 1998, working with Kellogg Australia and Kellogg Europe in support of the global strategic planning process.

In addition to serving in numerous leadership roles, he has led both the Kellogg North America and Kellogg International businesses.

Before joining Kellogg Company, Mr. Bryant held leadership positions with Deloitte & Touche, Marakon and A.T. Kearney.

Mr. Bryant received a bachelor of commerce degree from Australian National University and an MBA (Palmer Graduate Scholar) from the Wharton School of the University of Pennsylvania. He is an associate of the Institute of Chartered Accountants in Australia and an associate of the Securities Institute of Australia.

Mr. Bryant was born November 6, 1965, in Brisbane, Queensland, Australia. He resides in Battle Creek, Michigan, with his wife, Alison, and their six children.

Dr. Celeste A. Clark

Celeste A. Clark, Ph.D., has been Kellogg Company's senior vice president of global nutrition and corporate affairs since 2006. In August 2008, Dr. Clark assumed the responsibility of Chief Sustainability Officer. She is also a member of the company's global leadership team.

Dr. Clark is responsible for providing leadership for Kellogg's worldwide communications, nutrition marketing programs, consumer affairs and corporate administrations functions. She is also a company liaison worldwide between professional associations, government agencies and trade associations on nutrition health policy and advertising practices.

She joined the company in 1977 as a nutritionist and has since served in management positions in nutrition communications, public relations, marketing, marketing services, foodservice marketing and communications. During her tenure as director of corporate publicity, Dr. Clark was a leader in Kellogg Company's award winning All-Bran/Cancer Information campaign.

Dr. Clark was promoted to Kellogg Company vice president, nutrition marketing and communications in 1989, to senior vice president, nutrition and marketing services, Kellogg USA in 1991, to vice president, worldwide nutrition marketing in 1996, and to senior vice president, nutrition and marketing communications, Kellogg USA in 1999.

She was promoted to vice president, corporate and scientific affairs in 2002, and to senior vice president, corporate affairs in 2003.

Dr. Clark serves on the boards of the Auto Club Group and AAA Michigan. She is a former board chair for the International Food Information Council. Dr. Clark is a member of The National Academies Committee on Capitalizing on the Diversity of the Science and Engineering Workforce in Industry, a member of the Executive Leadership Council and also a board member of Battle Creek Unlimited. She also serves on the advisory board of the Children's Advertising Review Unit.

Dr. Clark received a bachelor's degree from Southern University in Baton Rouge, Louisiana, and a master's degree in nutrition from Iowa State University. She received a doctorate in food science and human nutrition from Michigan State University.

Dr. Clark was born in Colfax, Louisiana. She and her husband, Leon, reside in Battle Creek, Michigan. They have two children.

Mr. Davidson joined Kellogg Canada as a sales representative in 1984. He held numerous positions in Canada, including manager of trade promotions, account executive, brand manager, area sales manager, director of customer marketing and category management, and director of Western Canada.

Mr. Davidson transferred to Kellogg USA in 1997 as director, trade marketing. He later was promoted to vice president, channel sales and marketing and then to vice president, national teams sales and marketing. In 2000, he was promoted to senior vice president, sales for the Morning Foods Division, Kellogg USA, and to executive vice president and chief customer officer, Morning Foods Division, Kellogg USA in 2002. In 2003, he was promoted to president, U.S. Snacks and assumed responsibility for the oversight of Kellogg Canada in 2007.

He received a bachelor of business administration degree from the University of Windsor.

Mr. Davidson currently serves on the Grocery Manufacturers Association Industry Affairs Council and the Food Marketing Institute Associate Member Advisory Board.

Mr. Davidson was born January 24, 1961, in Windsor, Ontario, Canada. He and his wife, Anna, reside in Battle Creek, Michigan. They have two children.

Timothy P. Mobsby

President, Kellogg Europe

Timothy P. Mobsby has been senior vice president, Kellogg Company; executive vice president, Kellogg International; and president, Kellogg Europe since October 2000. He is also a member of the company's global leadership team.

Mr. Mobsby joined the company in 1982 in the United Kingdom, where he fulfilled a number of roles in the marketing area on both established brands and in new product development. From January 1988 to mid 1990, he worked in the cereal marketing group of Kellogg USA, his last position being vice president of marketing. From 1990 to 1993, he was president and director general of Kellogg France & Benelux, before returning to the UK as regional director, Kellogg Europe and managing director, Kellogg Company of Great Britain Limited. He was subsequently appointed vice president, marketing, innovation and trade strategy, Kellogg Europe based in Manchester, England. He was Kellogg Company's vice president, global marketing from February to October 2000..

Mr. Mobsby received bachelor's degrees in economics and business studies from Sheffield University, United Kingdom.

He was elected chairman of the European Committee for Large Food and Drink Companies – CEO forum of the European Food and Drink Confederation (CIAA) in 2008.

Mr. Mobsby was born June 8, 1955, in Surrey, England. He and his wife, Anne, reside in Dublin, Ireland. They have two children.

Paul Norman

Paul Norman has been senor vice president, Kellogg Company since 2005 and president, Kellogg International since August 2008. He is also a member of the company's global leadership team.

Mr. Norman joined Kellogg Company in 1987 as part of the United Kingdom's sales organization.

From 1989 to 1996, Mr. Norman was promoted to several marketing roles in France and Canada. He was promoted to director, marketing, Kellogg de Mexico in 1997; to vice president, marketing, Kellogg USA in 1999; to president, Kellogg Canada Inc. in 2000; and to managing director, United Kingdom/Republic of Ireland in 2002. In 2004, Mr. Norman was promoted to vice president, Kellogg Company and president, U.S. Morning Foods.

Mr. Norman received a bachelor's degree with honors in French from Portsmouth Polytechnic in England.

Mr. Norman was born November 12, 1964, in Southampton, England. He and his wife, Sonia, reside in Portage, Michigan. They have three children.

Todd Penegor

Todd Penegor has been vice president, Kellogg Company and president, U.S. Snacks since August 2008. He is also a member of the company's global leadership team.

Mr. Penegor joined the company in 2000 as senior director, global financial strategy and planning. He was promoted to vice president, finance, corporate financial planning in 2001. In February 2002, he was promoted to vice president and chief financial officer, Kellogg USA and in May 2002, was appointed vice president and chief financial officer for Kellogg's Snacks. In 2007, he was promoted to vice president and chief financial officer for Kellogg Europe.

Prior to joining the company, Mr. Penegor spent 12 years with Ford Motor Company in various positions including strategy, M&A, the controller's office and treasury.

Mr. Penegor received a bachelor's degree in accounting and a master's degree in finance from Michigan State University.

Mr. Penegor was born July 17, 1965, in Detroit, Michigan. He and his wife, Jill, reside in Battle Creek, Michigan. They have three children.

David J. Pfanzelter

David Pfanzelter has been senior vice president, Kellogg Company and president, specialty channels since May 2004. He is also a member of the company's global leadership team.

Mr. Pfanzelter began his foodservice career in 1975 with Oscar Mayer Foods Corporation. He moved up in the organization through several key sales and marketing positions, including director of marketing and national sales manager. In 1995, he was appointed vice president, sales of Kraft Foodservice, representing the combined manufactured brands of Oscar Mayer, General Foods and Kraft Foods.

In 1998, he joined the Keebler Foods Company as vice president and general manager of the foodservice division and was also a corporate officer. Following the acquisition of Keebler in 2001, Mr. Pfanzelter was named president of Kellogg's Food Away From Home. He was promoted to Kellogg Company vice president in 2003.

Since 1998, he has been on the board of directors of Doctor's Associates, the parent company of Subway Restaurants, the nation's largest restaurant chain. He also serves on the Board of the International Foodservice Manufacturer's Association as past chairman and a member of its executive committee. In 2002, he was their recipient of the annual President's Award in recognition of his significant contributions to the food service industry. In 2003, he was awarded IFMA's Key Person Award. In 2005, the Foodservice Industry's largest organization, NAFEM, bestowed on him an Honorary Doctorate Degree recognizing his accomplishments within the industry.

Mr. Pfanzelter received a bachelor's degree in marketing from the University of Wisconsin, Whitewater and continued his education at the University of Chicago School of Business.

Mr. Pfanzelter was born October 3, 1953, in Burlington, Wisconsin. He and his wife, Rose, reside in Chicago, Illinois. They have three children.

Gary H. Pilnick
Senior Vice President,
General Counsel, Corporate Development and Secretary, Kellogg Company

Gary H. Pilnick has been senior vice president, general counsel and secretary of Kellogg Company since August 2003. He assumed responsibility for corporate development in June 2004. Mr. Pilnick is also a member of the company's global leadership team.

He joined Kellogg Company in September 2000 as vice president, deputy general counsel and assistant secretary.

Prior to joining Kellogg Company, Mr. Pilnick was affiliated with the Chicago law firm of Jenner and Block from 1989 to 1995, including corporate legal assignments in both Chicago and Tokyo, Japan. He served as vice president and chief corporate counsel for Specialty Foods Corporation from 1995 to 1997, when he joined Sara Lee Corporation as chief counsel, corporate development and finance. He was named vice president and chief counsel, Sara Lee Branded Apparel, North and South America in February 1999.

Mr. Pilnick received a bachelor's degree with honors from Lafayette College, Easton, Pennsylvania, and a juris doctorate with honors from Duke University School of Law, Durham, North Carolina.

Mr. Pilnick was born September 17, 1964, in Forest Hills, New York. He and his wife, Helene, reside in Portage, Michigan. They have three children.

Brian S. Rice

Brian S. Rice has been senior vice president and chief information officer, Kellogg Company since February 2, 2009. He is also a member of the company's global leadership team.

Mr. Rice previously held leadership positions with Kellogg Company in information technology and enterprise business practices, both in the U.S. and Asia Pacific from 1993-2000.

Prior to rejoining Kellogg, Mr. Rice was employed by General Motors Corp. from 2005 to 2009, where he most recently served as global services information officer and was responsible for all aspects of global computing for the company. From 2000 to 2005, he was employed by Mars Inc. and served as vice president and chief information officer for their Asia Pacific business, based in Singapore.

He received a bachelor's degree in computer information services from Ferris State University.

Mr. Rice was born on April 22, 1963, in Battle Creek, Michigan. He resides in Augusta, Michigan.

Juan Pablo Villalobos
Senior Vice President, Kellogg Company
President, U.S. Morning Foods

Juan Pablo Villalobos has been senior vice president, Kellogg Company since August 2006 and president, U.S. Morning Foods since August 2008. He is also a member of the company's global leadership team.

Mr. Villalobos joined Kellogg de Mexico in 1991 as brand manager, marketing and was promoted to group brand manager in 1992. In 1993, he was promoted to marketing director, Kellogg Brazil and to general manager, Kellogg Chile in 1994. In 1995, he was promoted to general manager, Kellogg Colombia and to convenience foods director, Kellogg de Mexico and Latin America in 1997. Mr. Villalobos was promoted to general manager, Kellogg de Mexico and vice president, Kellogg Latin America in 1999. He was promoted to executive vice president, Kellogg International and president, Kellogg Latin America in 2004.

Mr. Villalobos received an industrial engineer degree from Pan Americana University, Mexico City.

Mr. Villalobos was born February 2, 1966, in Mexico, D.F. – Mexico. He and his wife, Patricia, have four children.

Kathleen Wilson-Thompson
Senior Vice President, Global Human Resources, Kellogg Company

Kathleen Wilson-Thompson has been Kellogg Company's senior vice president, global human resources since December 2005. She is also a member of the company's global leadership team.

Ms. Wilson-Thompson joined the company in January of 1992 as a senior attorney. She was promoted to counsel in July of 1992 and to corporate counsel in January of 1995. She then assumed the role of human resources manager for the Memphis plant from March 1995 to November 1996, when she became the human resources manager for the Battle Creek plant.

In January 1998, Ms. Wilson-Thompson returned to the legal department as corporate counsel, and was promoted to chief counsel, labor and employment in November 2001, a position she held until October 2003. At that time, she was promoted to vice president, chief counsel U.S. businesses, labor and employment. In July 2005, she was promoted to vice president, global human resources.

She received her bachelor of arts degree from the University of Michigan and a juris doctor degree and master of laws degree in corporate and finance law from Wayne State University.

Ms. Wilson-Thompson and her husband, Don, reside in Portage, Michigan. They have one daughter.
